As a seasoned Board governance expert with 16 years of experience, I’ve had the privilege of serving on various Councils, Boards, and Committees, including:

  • Health Professions Council of South Africa (HPCSA)
  • Free State Gambling, Liquor and Tourism Authority (FSGLTA)
  • Legal Practice Council (LPC)
  • Gauteng Mental Health Review Board
  • Cape Peninsula University of Technology (CPUT)

In my tenure, I’ve observed the critical importance of balancing the proximity of Board Members to Executive Management.

Benefits of Proximity:

  • Improved communication
  • Enhanced collaboration
  • Increased trust

Drawbacks of Proximity:

  • Blurred lines between governance and management
  • Loss of objectivity
  • Groupthink [the phenomenon where a group prioritizes consensus over critical evaluation, leading to irrational or poor decisions]

Best Practices from My Experience:

  • Establish clear roles and responsibilities
  • Encourage diverse perspectives
  • Foster a culture of transparency and accountability

Conclusion:

As Board Members, we must navigate the delicate balance between proximity and governance. By acknowledging the benefits and drawbacks, we can maintain a healthy relationship with Executive Management, ensuring effective leadership and governance.
